Tollring, a global leader in cloud business analytics, call recording, and fraud protection solutions, has successfully formed a major equity alliance with Thailand-based Gen-AI technology firm Amity Solutions. The transaction, involving complex multi-jurisdictional legal considerations, was managed by 360 Law Services, Tollring’s long-standing legal advisor.

With a client relationship spanning over a decade, 360 Law Services provided legal expertise across England and internationally, ensuring the seamless execution of the deal. The firm’s combination of international legal acumen and pragmatic advice made it the ideal partner for this intricate transaction.

Tony Martino, CEO of Tollring, highlighted the pivotal role played by 360 Law Services throughout the process. “I have always appreciated Robert Taylor’s pragmatic and commercially focused approach to law right from the day we met over ten years ago. Since then, we have successfully collaborated on a range of corporate legal services ranging from HR, IP, resale contracts and international distribution agreements across our operations in the UK, Europe, India, Australia and USA.”

For this specific transaction, Martino worked closely with Fraser McGee, who was appointed as Tollring’s primary contact at 360 Law Services. McGee led a dedicated team of legal experts, coordinating efforts with international legal teams, tax specialists, and financial advisors to ensure a smooth process.

“Fraser’s ability to communicate in simple business terms while handling the complexity of the deal was exceptional,” said Martino. “His foresight in identifying potential blockers before they became issues helped avoid unnecessary complications. His availability and hands-on involvement made a world of difference.”

McGee worked alongside investment bankers Acuity Advisors and handled critical negotiations with Amity Solutions’ legal teams, including Baker McKenzie in Thailand and CMS in the UK. His strategic approach ensured that legal discussions remained separate from business negotiations, preserving Tollring’s positive relationship with Amity Solutions.

Beyond the core M&A work, 360 Law Services also managed ancillary aspects such as conveyancing to exclude Tollring’s office property from the deal.

Reflecting on the outcome, Martino expressed his satisfaction, stating, “The expertise and professionalism displayed by Fraser and the entire team at 360 Law Services, particularly in handling the international dimensions of the deal, have exceeded my expectations. I wouldn’t hesitate to recommend Fraser and 360 Law Services for any complex corporate transaction.”
